Why did I receive a letter?

Fincen Alliance is sending letters to business owners letting them know about the new BOIR filing requirements for all businesses as of 2024. This new filing requirement is through the government agency FinCEN (Financial Crimes Enforcement Network) and carries heavy fines if out of compliance ($500 or more). What is BOI? FinCEN? CTA?

BOI stands for Beneficial Ownership Information and is required to be filed with the Financial Crimes Enforcement Network, or FinCEN, as of January 2024.

BOI includes the business name and EIN (SSN if no EIN), any beneficial owner of the business (with 25% or more ownership), their names, contact information, and ID's.

This new requirement is led by the Corporate Transparency Act and is intended to reduce crime and trafficking.

**2/19/2025 Urgent Update "With the February 18, 2025, decision by the U.S. District Court for the Eastern District of Texas in Smith, et al. v. U.S. Department of the Treasury, et al., 6:24-cv-00336 (E.D. Tex.), beneficial ownership information (BOI) reporting requirements under the Corporate Transparency Act (CTA) are once again back in effect. However, because the Department of the Treasury recognizes that reporting companies may need additional time to comply with their BOI reporting obligations, FinCEN is generally extending the deadline 30 calendar days from February 19, 2025, for most companies." What is Annual Renewal filing?

Most states require businesses file each year to their state government in order to keep an active registration on their business. Make sure to file by May 1st, 2025. Filing late can incur a $400 fine to reinstate. Fincen Alliance is currently serving Florida businesses with their annual renewal and the current state filing fees are as follows:

Annual Report - Profit Corporation: $150

Annual Report- Non-Profit Corporation: $61.25

Annual Report- Limited Liability Company: $138.75

Annual Report - Limited Partnership or Limited Liability Limited Partnership: $500

What is my proof of filing?

BOIR Filing: Your proof of filed Beneficial Ownership Information is the Transcript. This is provided at the end of the filing process. Fincen Alliance will file for you and send you the Transcript to keep with your records.

Annual Renewal Filing: Proof of your Annual Renewal filed (Florida only) is on the Division of Corporations website Sunbiz.org when you search for your entity. Fincen Alliance will file for you and send you the Transcript and/or Certificate of Status to keep with your records.

Do I need a Certificate of Status?

Requesting a Certificate of Status from Florida's Division of Corporations is completely optional in completing your Annual Renewal and is typically beneficial for businesses who need official record of having paid all fees for their business to remain active. There is a $10 charge when requesting a Certificate of Status. Please also note that requesting one can increase the turn-around-time of your order. Learn more here.

What penalties are associated with not filing?

BOI Filing: FinCEN has stated that filing your BOI late can incur $500 or more in fines and possible jail time. Entities active in 2024 and before should file BOI by 3/21/2025. New businesses should file within 30 days of registration.

Annual Renewal: Florida only. The Division of Corporations has listed a fee of $400 for filing your Annual Renewal late. Deadline for filing in 2025 is May 1st. Businesses who file after the third Friday of September will incur additional costs to reinstate.

Do I file every year?

BOI Filing: No. Only re-file when you have updates or changes to your information. Choosing Fincen Alliance for BOI filing includes up to a year of free updated filings.

Annual Renewal: Yes! In order to keep your business in an active registration status, you must file Annual Renewal each year between January and May. You must also file when there are changes to your information by filing an Amendment.
